1. Services

We provide automation services including but not limited to:

• Database Reactivation AI Bot

• Speed To Lead Bot

• Out of Hours Bot

• Google Reviews AI Bot

Our services are designed to automate customer engagement, lead follow-up, and review generation for businesses.

We reserve the right to modify or discontinue services at any time.

2. Client/Customer/Partner Responsibilities

Clients/Customers/Partners agree to:

• Provide accurate data and contact information

• Ensure they have lawful permission to contact all leads uploaded into our systems

• Comply with applicable laws including TCPA, CAN-SPAM, GDPR (if applicable), and state privacy laws

• Maintain proper consent records for SMS and email communications

We are not responsible for unlawful use of contact lists or improper consent collection by clients.

3. Compliance with Communication Laws

Clients acknowledge that:

• SMS marketing requires express written consent under U.S. law.

• Email marketing must comply with CAN-SPAM requirements.

• Automated messaging must comply with applicable federal and state laws.

The Company provides automation tools but does not assume liability for client misuse.

4. Payment & Performance

If services are performance-based:

• Fees are triggered upon defined engagement events (as outlined in client agreement).

• Payment terms will be specified in individual service agreements.

• Failure to pay may result in suspension of services.

All fees are non-refundable unless otherwise agreed in writing.

5. Intellectual Property

All proprietary systems, workflows, automation logic, prompts, scripts, and software remain the intellectual property of the Company.

Clients retain ownership of their CRM data and customer information.

6. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for:

• Indirect or consequential damages

• Lost profits

• Business interruption

• Regulatory penalties caused by client non-compliance

Our total liability shall not exceed the amount paid to us in the preceding 3 months.

7. No Guarantee of Results

While we strive to optimize engagement and response rates, we do not guarantee:

• Sales outcomes

• Revenue increases

• Specific conversion rates

Results depend on client offer, sales process, market conditions, and execution.

8. Termination

Either party may terminate services according to the written service agreement.

We reserve the right to terminate access immediately for unlawful use or abuse of services.

9. Governing Law

These Terms shall be governed by the laws of the State of North Carolina, United States.
